By accessing this website or engaging Jonaky Digital Solutions for services, you agree to these Terms of Service. If you do not agree, please do not use the site or our services.
Last updated: March 10, 2026. If a signed client agreement contains terms that conflict with this page, the signed agreement will control for that project.

2. Services
We provide software development, consulting, maintenance, and related digital services. The exact scope, timeline, and deliverables for any engagement will be defined separately in a proposal, quotation, statement of work, or written agreement.
3. Client Responsibilities
Clients are responsible for providing accurate project requirements, timely feedback, approvals, and any materials or access needed to perform the work. Delays in these items may affect delivery timelines.
4. Fees and Payments
Project fees, milestone payments, and recurring charges must be paid according to the agreed commercial terms. Late payments may pause ongoing work, delay delivery, or incur additional charges where permitted by law or contract.
5. Intellectual Property
Unless otherwise agreed in writing, Jonaky Digital Solutions retains ownership of its pre-existing tools, frameworks, code libraries, and know-how. Upon full payment, the client receives the rights to the final deliverables specifically created for that client, subject to any third-party licenses.
6. Confidentiality
Both parties should protect confidential business, technical, and commercial information shared during an engagement and should not disclose it to third parties except where required to perform the services or by law.
7. Third-Party Tools and Services
Projects may rely on third-party hosting providers, APIs, plugins, payment gateways, or software libraries. We are not responsible for outages, pricing changes, policy changes, or failures caused by those third-party services.
8. Warranties and Liability
We aim to deliver professional, commercially reasonable services, but we do not guarantee uninterrupted website availability, error-free operation, or specific business outcomes unless explicitly agreed in writing. To the maximum extent permitted by law, our liability is limited to the amount paid for the relevant services.
9. Termination
Either party may terminate an engagement according to the terms of the applicable agreement. The client remains responsible for payment for work completed up to the termination date, including approved expenses or committed third-party costs.
10. Governing Law
These terms are governed by the laws of Bangladesh unless another governing law is expressly stated in a written agreement between the parties.

১. শর্তাবলী গ্রহণ
এই ওয়েবসাইট ব্যবহার করা বা Jonaky Digital Solutions-এর সেবা গ্রহণ করার মাধ্যমে আপনি এই Terms of Service মেনে নিচ্ছেন। আপনি যদি এ শর্তগুলোর সাথে একমত না হন, তাহলে অনুগ্রহ করে ওয়েবসাইট বা আমাদের সেবা ব্যবহার করবেন না।
২. সেবার পরিধি
আমরা সফটওয়্যার ডেভেলপমেন্ট, কনসাল্টিং, মেইনটেন্যান্স এবং সংশ্লিষ্ট ডিজিটাল সেবা প্রদান করি। প্রতিটি প্রজেক্টের নির্দিষ্ট কাজের পরিধি, সময়সীমা এবং ডেলিভারেবলস আলাদা প্রস্তাবনা, কোটেশন, স্টেটমেন্ট অব ওয়ার্ক অথবা লিখিত চুক্তিতে নির্ধারিত হবে।
৩. ক্লায়েন্টের দায়িত্ব
ক্লায়েন্টকে সঠিক প্রজেক্ট রিকোয়ারমেন্ট, সময়মতো ফিডব্যাক, অনুমোদন এবং কাজ সম্পন্নের জন্য প্রয়োজনীয় তথ্য বা অ্যাক্সেস প্রদান করতে হবে। এসব ক্ষেত্রে বিলম্ব হলে ডেলিভারি টাইমলাইন প্রভাবিত হতে পারে।
৪. ফি এবং পেমেন্ট
প্রজেক্ট ফি, মাইলস্টোন পেমেন্ট এবং পুনরাবৃত্ত চার্জসমূহ চুক্তি অনুযায়ী পরিশোধ করতে হবে। বিলম্বিত পেমেন্টের ক্ষেত্রে চলমান কাজ স্থগিত হতে পারে, ডেলিভারি বিলম্বিত হতে পারে, অথবা আইন বা চুক্তি অনুযায়ী অতিরিক্ত চার্জ প্রযোজ্য হতে পারে।
৫. মেধাস্বত্ব
লিখিতভাবে ভিন্ন কিছু নির্ধারিত না থাকলে Jonaky Digital Solutions তার নিজস্ব পূর্ব-বিদ্যমান টুল, ফ্রেমওয়ার্ক, কোড লাইব্রেরি এবং কারিগরি জ্ঞানের মালিকানা সংরক্ষণ করবে। সম্পূর্ণ পেমেন্টের পর ক্লায়েন্টের জন্য বিশেষভাবে তৈরি করা চূড়ান্ত ডেলিভারেবলসের অধিকার ক্লায়েন্ট পাবেন, তবে কোনো তৃতীয় পক্ষের লাইসেন্স প্রযোজ্য থাকলে তা সাপেক্ষে।
৬. গোপনীয়তা
কাজের সময় উভয় পক্ষের মধ্যে শেয়ার করা ব্যবসায়িক, কারিগরি ও বাণিজ্যিক তথ্য গোপন রাখতে হবে এবং সেবা প্রদানের প্রয়োজন বা আইনগত বাধ্যবাধকতা ছাড়া তৃতীয় পক্ষের কাছে প্রকাশ করা যাবে না।
৭. তৃতীয় পক্ষের টুল ও সেবা
প্রজেক্টে তৃতীয় পক্ষের হোস্টিং, API, প্লাগইন, পেমেন্ট গেটওয়ে বা সফটওয়্যার লাইব্রেরি ব্যবহৃত হতে পারে। এসব সেবার ডাউনটাইম, মূল্য পরিবর্তন, নীতিমালা পরিবর্তন বা ব্যর্থতার জন্য আমরা দায়ী থাকব না।
৮. ওয়ারেন্টি এবং দায়সীমা
আমরা পেশাদার এবং বাণিজ্যিকভাবে যুক্তিযুক্ত মানের সেবা প্রদানের চেষ্টা করি, তবে লিখিতভাবে আলাদা নিশ্চয়তা না থাকলে নিরবচ্ছিন্ন সাইট অ্যাভেইলেবিলিটি, সম্পূর্ণ ত্রুটিমুক্ত অপারেশন বা নির্দিষ্ট ব্যবসায়িক ফলাফল গ্যারান্টি দিই না। আইনে যতটুকু অনুমোদিত, আমাদের দায় সংশ্লিষ্ট সেবার জন্য পরিশোধিত অর্থের মধ্যে সীমাবদ্ধ থাকবে।
৯. চুক্তি সমাপ্তি
প্রযোজ্য চুক্তির শর্ত অনুযায়ী যে কোনো পক্ষ কাজ সমাপ্ত করতে পারে। সমাপ্তির তারিখ পর্যন্ত সম্পন্ন হওয়া কাজ, অনুমোদিত খরচ এবং প্রতিশ্রুত তৃতীয় পক্ষের ব্যয়ের জন্য ক্লায়েন্টকে পেমেন্ট করতে হবে।
১০. প্রযোজ্য আইন
পক্ষদ্বয়ের লিখিত চুক্তিতে ভিন্ন কিছু না থাকলে, এই শর্তাবলী বাংলাদেশের আইন অনুযায়ী পরিচালিত হবে।
